Pivot Integrated Energy Services Limited has repaid its ₦8.25 billion Series 1 Tranche A Commercial Paper two days before the instrument’s due date, completing its first debt repayment since entering Nigeria’s commercial paper market.
Quick facts
- ₦8.25 billion Series 1 Tranche A Commercial Paper was settled on October 31, 2026.
- The 90-day note had been scheduled to mature on November 2, 2026.
- Pivot’s August 2026 debut issue drew ₦100.08 billion in subscriptions, above its ₦100 billion target.
- The offering is the initial phase of a ₦300 billion Commercial Paper Programme.
The 90-day Tranche A note was redeemed in full ahead of its November 2, 2026 maturity. The payment comes less than three months after the company completed its inaugural commercial paper sale.
For the downstream energy company, the advance settlement is intended to demonstrate disciplined financial management and strengthen confidence among investors as it pursues expansion in Nigeria’s energy market.
Its maiden Series 1 Commercial Paper offering closed in August 2026, receiving subscriptions worth ₦100.08 billion against an original ₦100 billion objective. The strong demand highlighted institutional appetite for the transaction.
The issue was split into four tranches with maturities of 90, 180, 270 and 364 days. It represents the opening stage of Pivot’s ₦300 billion Commercial Paper Programme.
Following repayment of Tranche A, the 180-day, 270-day and 364-day notes remain in circulation. Pivot said these instruments will be paid when each reaches its respective maturity date.
Managing Director Babajide Babatope said the early payment reflected the company’s obligation to investors that supported its first capital-market transaction.
“Our debut in the capital market created a responsibility to every investor who supported us,” Babatope said. “We are pleased to have completed our first repayment duty before the due date. This goes beyond fulfilling a financial obligation; it is about developing relationships with the investment community through trust, accountability and financial discipline.”
He thanked pension funds, insurers, banks, fund managers and other institutional investors that took part in the issue, saying their backing remains central to Pivot’s longer-term expansion plans.
Babatope also praised Pathway Advisors Limited, which acted as Transaction Sponsor, Financial Adviser, Lead Issuing House and Lead Arranger, for its support and guidance through the deal.
Pathway Advisors founder and chief executive Adekunle Alade, MBA, FCA, M.CIoD, said the ahead-of-schedule repayment underscored how financial discipline can build market trust, particularly for a first-time issuer.
“Investor confidence is earned through repeated actions,” Alade said. “For a debut issuer, repaying before maturity gives the market a constructive indication of its commitment to financial responsibility. Pivot has made an important start in building a repayment history that will matter as it advances through the remaining phases of its ₦300 billion Programme.”
Alade said a financial adviser’s role does not end when securities are issued. He pointed to the need for continued client engagement during the life of debt instruments, including oversight of how proceeds are used and preparation for repayment dates.
Pivot’s settlement of Tranche A ahead of time illustrates the benefits of sound financial planning, advisory assistance and ongoing investor communication, he added.
As it implements its business plan, the repayment of its first commercial paper tranche gives Pivot a base for further activity in the capital market. The company said it remains focused on meeting obligations on the outstanding notes while preserving the financial discipline and investor relationships needed to support its long-term plans.
